CONFIDENTIALITY AND NONDISCLOSURE AGREEMENT This Agreement is made effective as of this date between MAP INVESTING (hereafter referred to as “Providers”) and myself, as indicated by act of electronic signature by the giving of my name and email, as entered into this form, and by my IP address which is automatically recorded for identification purposes (hereafter referred to as “Party.” WHEREAS, “The Party” desires to receive THE MAP© marketing system materials for review and consideration for potential marketing and sales of THE MAP©. WHEREAS, “The Party” agrees to receive and keep confidential all materials regarding THE MAP “The Party” and “Providers” agree as follows: 1. PROPRIETARY INFORMATION As used in this Agreement, the term “Proprietary Information” shall mean any marketing methodologies, copyrights, confidential information (including, but not limited to, product information, training methodologies, marketing plans and strategies, operations and systems, whether disclosed orally or in writing, or by observation of operations or inspection of products and services or otherwise. 2. NON-DISCLOSURE/NON-SOLICITATION “The Party” agrees that the Proprietary Information is a matter of strict confidentiality. “The Party” shall not disclose any Proprietary Information, in whole or in part, including derivations, to any third party. “The Party” shall use such degree of care as is reasonably calculated to prevent inadvertent disclosure of the Proprietary Information. “The Party” shall limit access to such Proprietary Information, to those individuals who are directly involved in the consideration of Proprietary Information and who have been informed of and agree to honor the receiving party's and their duty not to disclose. 3. PROPERTY All tangible information furnished or disclosed including, without limitation, client and/or agent presentations, training materials, prospecting materials, program overviews, scripts, shall remain the property of the disclosing party and shall be kept separate from other items by the receiving party. “The Party” shall not remove, obscure, or alter received materials in whole or part except as approved by “Providers” in writing.
